Gary Herwitz and his colleagues at CoMetrics recently advised Tahari ASL, LLC, on the sale of its Catherine Malandrino brand.
In August 2013, Tahari ASL announced closing upon an asset purchase agreement with Bluestar Alliance, LLC, in which the latter acquired all intellectual property assets related to the Catherine Malandrino clothing line for an undisclosed amount. Under the terms of the agreement, Tahari ASL will continue to manufacture and distribute the Catherine Malandrino line. Bluestar stated that it plans to develop retail and wholesale luxury collections for the brand.
Bluestar CEO Joseph Gabbay praised the Catherine Malandrino line as an ideal fit with the company’s existing portfolio. Bluestar also owns Mac + Jac, Joan Vass, Hot Kiss, English Laundry, and other clothing brands targeted towards women and girls. Fashion designer Catherine Malandrino began creating clothes under her eponymous fashion label in 1998.
